EULA - End User License Agreement

CUBE-it Zero Licence BI-Lite CUBE-it Zero LICENCE AGREEMENT Academy Software Products Ltd, Insource House, 4 Southern Court, South Street, Reading, Berks, RG1 4QS Definition Academy Software Products grants a licence to the Client for the use of BI-Lite CUBE-it Zero. Definition of Terms Client refers to the individual to whom this licence agreement is granted and is defined as the individual that downloaded CUBE-it Zero from the Data Academy or BI-Lite WEB site and consequently agreed to the terms of this agreement. BI-Lite CUBE-it Zero or CUBE-it Zero is defined as the application which is Academy Software Products' proprietary rapid OLAP CUBE development tool, including all documentation, supporting computer code and associated material. CUBE, CUBEs, OLAP CUBE and OLAP CUBEs mean a bespoke cube developed using BI-Lite CUBE-it Zero which includes cubes and definitions thereof purchased as solutions to business functions as a starter pack or completed cube not specifically developed for the Client. Software refers to BI-Lite CUBE-it Zero and applications. Data Academy WEB Site refers to the internet site accessible via an internet WEB browser at the address http://www.dataacademy.com BI-Lite WEB Site refers to the internet site accessible via an internet WEB browser at the address http://www.bi-lite.com WEB Site refers to either of the internet sites accessible via an internet WEB browser at the address http://www.bi-lite.com or http://www.dataacademy.com ASP refers to Academy Software Products Limited Licence to BI-Lite CUBE-it Zero On download from the Data Academy or BI-Lite WEB Site, ASP grants a free of charge licence to the Client for the use of BI-Lite CUBE-it Zero. CUBE-it Zero may not be copied, sublicensed, rented, leased, sold, distributed or transferred to other third parties without prior written agreement from ASP. Intellectual Property In granting this licence ASP retains all intellectual property rights to BI-Lite CUBE-it Zero. Title to BI-Lite CUBE-it Zero The title to CUBE-it Zero, applications and all documentation and related materials remains with ASP at all times and is protected by copyright law and international treaties. Other restrictions, de-restrictions and usages, depending on the type of licence issued, are as follows and are in addition to those in Section 3. Limitation of Use Custom code developed under the terms of this agreement may only be developed for re-sale or distribution provided that the purchaser or recipient of such custom code is subject to a similar CUBE-it Zero Licence Agreement. Modifications to CUBE-it Zero ASP reserves the right to discontinue CUBE-it Zero at any time, giving 90 days notice of permanent discontinuance, posted on the WEB site. ASP also reserves the right to modify CUBE-it Zero as necessary in order to improve, fix or otherwise maintain the quality, usability or otherwise of CUBE-it Zero. ASP shall not be liable to the Client or any third party for any modification, suspension or discontinuance of CUBE-it Zero. Pricing ASP reserves the right to modify the price of CUBE-it Zero at any time giving 30 days notice. The current price of the Product is Free of Charge. The price does not include any 3rd party licences that may be required to run the Software. Payment Full payment for additional Optional Module Software Licences must be made prior to licencing. Warranty ASP provides no warranty implied or otherwise as to the accuracy of processing of CUBE-it Zero. However, in the event that errors are discovered these may be reported via email to service@bi-lite.com. Due attention may be given to fixing reported issues, but no guarantees are given as to timescales, or indeed whether or not reported issues will be fixed. Limitation of Liability ASP shall not be liable for direct, indirect, incidental, special, consequential, or exemplary damages resulting from the use of CUBE-it Zero, including but not limited to, loss of use, unauthorised access, alteration of transmissions or data, business interruptions, damages for loss of profits, goodwill, use, or other intangible losses, regardless of whether ASP had advance notice of the possibility of any such damages. Other Conditions The terms contained within ASP's Terms Conditions of Trading also apply to the Licence Agreement and this Software License Agreement must be read in conjunction with ASP's Terms Conditions of Trading.
